Stacy serves small businesses and entrepreneurs, providing cost-effective legal advice and representation in litigation, commercial transactions, and business planning.  In addition, she provides outside counsel services to businesses in need of a go-to advisor to address risk management issues, corporate governance questions, and other concerns commonly encountered in business transactions, planning, and disputes.

Stacy is a well-trained litigator and counselor, having most recently practiced with an AmLaw 100 law firm before opening her own firm.  With over ten years of experience, Stacy’s litigation skills include written discovery, depositions, expert retention, and preparing for and participating in settlement conferences, mediations, arbitrations, and trials. She has managed numerous cases from start to finish by way of settlement, dispositive motion, trial, or appeal. Her legal writing experience is extensive and Stacy also has solid courtroom experience. In addition to numerous bench trials, Stacy has second-chaired and tried solo jury trials to verdict.

In addition to litigation, Stacy’s experience extends to advising clients with respect to insurance coverage matters, business formations, contract drafting, review and negotiation, debt collection, and business policies and procedures.

  • Authored appellate briefs that successfully overturned $2 million jury verdict. Prime Medica Assocs. v. Valley Forge Ins. Co., 970 A.2d 1149 (Pa. Super. 2009).
  • Obtained federal district court ruling that holding company’s corporate veil may not be pierced for liability of its wholly owned subsidiaries and dismissal of conversion claim of allegedly overcharged premiums. Bestway Systems, Inc. v. American International Group, Inc., Case No. 1:04-cv-01374, 2005 U.S. Dist. LEXIS 26949 (N.D. Ohio Nov. 8, 2005).
  • Principal author of motion for summary judgment regarding the application of general liability policy’s sudden and accidental pollution exclusion on the issues of regulatory estoppel, promissory estoppel, and trade usage. Prepared outline for oral argument on motion, and drafted oppositions to motion to certify immediate appeal, motion for reconsideration, and motion to amend order. Also responsible for preparing motion to strike jury demand and motion to bifurcate trial.

  • Analysis of potential exposure for numerous long-tail products liability claims, including choice of law, whether injured claimants alleged “bodily injury” during a policy period caused by an “occurrence” as to fall within general liability policy’s insuring agreements, potential application of the contractual liability exclusion, allocation of defense and indemnity among triggered policies, and late notice defense.
  • Analysis of coverage and potential exposure for claim made by insured directors and officers, including whether claim was made and reported during policy period as required by terms of D&O policy, whether claim alleged a “Wrongful Act” and “Damages” as defined by the policy, potential application of the personal profit and fraudulent acts exclusions, and insurer’s duty to advance defense costs.
  • Analysis of coverage provided by Employee Benefit Plan Fiduciary Liability Policy for claims made by U.S. Department of Labor against insured company, including whether claim was first made and reported during policy, potential application of the policy’s profit or advantage, willful violation of statute, prior or pending, and failure to fund exclusions, and whether coverage was precluded by the insured’s breach of its duty to cooperate.
